Le decisioni vengono prese altrove e il board si limita a ratificarle, spesso all\u2019unanimit\u00e0 e senza un vero confronto. \u00c8 un modello diffuso, soprattutto nelle imprese familiari o cresciute rapidamente, ma \u00e8 anche uno dei principali limiti alla competitivit\u00e0 nel medio-lungo periodo.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p style=\"text-align: justify\"><span data-contrast=\"auto\">Un board che aggiunge valore non \u00e8 un adempimento statutario n\u00e9 un organo di controllo passivo. \u00c8 uno spazio di confronto strategico, di challenge costruttiva e di responsabilit\u00e0 condivisa. La transizione da un Consiglio notarile a un <\/span><b><span data-contrast=\"auto\">board competitivo<\/span><\/b><span data-contrast=\"auto\">\u00a0richiede un cambiamento profondo, che riguarda persone, processi e cultura.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>[\/et_pb_text][\/et_pb_column][\/et_pb_row][\/et_pb_section][et_pb_section fb_built=&#8221;1&#8243; Un Consiglio che governa davvero pone domande scomode, mette in discussione assunti consolidati e contribuisce a migliorare la qualit\u00e0 delle decisioni. I suoi membri devono essere selezionati attraverso un processo strutturato e trasparente, a partire da una vera e propria <strong>job\u00a0description<\/strong>\u00a0che chiarisca ruolo, competenze attese e contributo richiesto.<\/span><span>\u00a0<br \/><\/span><span data-contrast=\"auto\">Consigli troppo numerosi, composti per rappresentanza o per equilibrio politico, tendono a essere poco efficaci. Nella pratica,<strong> board snelli e focalizzati<\/strong> favoriscono un confronto pi\u00f9 profondo e decisioni migliori.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p style=\"text-align: justify\"><span data-contrast=\"auto\">\u00c8 altrettanto importante definire in modo esplicito le aspettative verso ciascun board\u00a0member: cosa ci si attende in termini di tempo, contributo, indipendenza di giudizio e assunzione di responsabilit\u00e0.
