Una priorit\u00e0 che per molte realt\u00e0 \u00e8 per\u00f2 <\/span><b>pi\u00f9 annunciata che messa in pratica<\/b><span style=\"font-weight: 400;\">, almeno per quanto riguarda la reale volont\u00e0 di dotarsi di un <\/span><span style=\"font-weight: 400;\">consiglio di amministrazione<\/span><span style=\"font-weight: 400;\"> competitivo.<\/span><span style=\"font-weight: 400;\"><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Un errore clamoroso, che <\/span><b>pesa come un macigno<\/b><span style=\"font-weight: 400;\"> quando si vogliono sviluppare nuovi prodotti, offrire soluzioni in grado di aumentare il bacino dei clienti, andare alla ricerca di nuovi mercati, puntare sulla sostenibilit\u00e0 dell\u2019azienda.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Da cosa nasce questo problema? Alcuni ritengono ancora essenziale la figura dell\u2019uomo solo al comando, in altri casi la composizione del board \u00e8 dettata da <\/span><b>equilibri relazionali<\/b><span style=\"font-weight: 400;\"> che tutto contemplano tranne i principi base per dotarsi di <\/span><span style=\"font-weight: 400;\">sistemi di corporate governance<\/span><span style=\"font-weight: 400;\"> efficienti.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Dimenticando che questo elemento, anche e soprattutto per le aziende piccole e medie, \u00e8 la precondizione per <\/span><b>affermarsi su mercati sempre pi\u00f9 difficili<\/b><span style=\"font-weight: 400;\"> ed \u00e8 anche uno strumento di emancipazione \u2013 culturale, strategica, organizzativa e operativa \u2013 per le aziende ad azionariato familiare che vogliano crescere rapidamente.<\/span><span style=\"font-weight: 400;\"><\/span><\/p>[\/et_pb_text][\/et_pb_column][\/et_pb_row][\/et_pb_section][et_pb_section fb_built=&#8221;1&#8243; Per molte aziende il board ha <\/span><b>un ruolo marginale<\/b><span style=\"font-weight: 400;\">: va informato e tenuto al corrente (sempre ex post) di quello che azionisti e management hanno deciso di fare, deve ratificarne le decisioni e al massimo ammonire chi le ha prese dei possibili rischi associati.<\/span><span style=\"font-weight: 400;\"><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Per cambiare prospettiva, all\u2019azionista di maggioranza spetta il ruolo di operare uno scatto in avanti, conseguenza di un coraggio intellettuale che non tutti possiedono. Una presa di coscienza che va a vantaggio di tutti, perch\u00e9 <\/span><b>un buon board pu\u00f2 contribuire in modo determinante ad affrontare le tematiche pi\u00f9 complesse e strategiche<\/b><span style=\"font-weight: 400;\">, a patto che si definiscano con precisione gli ambiti di intervento e i <\/span><span style=\"font-weight: 400;\">poteri del consiglio di amministrazione<\/span><span style=\"font-weight: 400;\">.<\/span><span style=\"font-weight: 400;\"><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Prima ancora di comporre la squadra, o di cambiarla, va definito infatti il <\/span><b>perimetro decisionale del board<\/b><span style=\"font-weight: 400;\">: di quali temi pu\u00f2 e deve occuparsi e quali decisioni sono di sua esclusiva competenza.
