Per raggiungere questi obiettivi molte aziende impostano strategie pi\u00f9 o meno efficaci, investono, fanno acquisizioni, ma trascurano spesso un passaggio indispensabile: dotarsi di un Board realmente competitivo. Costruire un sistema di Corporate Governance efficiente \u00e8 invece una precondizione essenziale per supportare il processo di crescita dell\u2019azienda e per aprire la struttura dell\u2019azionariato al mercato e a investitori istituzionali.<\/p>\n<p style=\"text-align: justify;\">EIM Italia ha voluto provare ad approfondire l\u2019argomento in un workshop che ha messo a confronto manager, imprenditori e esperti di Corporate Governance, raccogliendo la testimonianza diretta di chi, nei diversi ruoli, ha saputo trasformare, in un\u2019epoca segnata da incertezza crescente, il proprio Board aziendale. Il dibattito \u00e8 stato preceduto dalla presentazione di una survey che EIM Italia ha svolto su un campione di 159 persone, il 55% delle quali Board member e il 45% CEO di aziende B2B e B2C, in cui si evidenzia, tra le altre cose, come la Governance sia spesso percepita come non del tutto adeguata alle esigenze dell\u2019azienda e come moltissimi CEO si attenderebbero un maggiore contributo da parte del Board.<\/p>\n<p>[\/et_pb_text][\/et_pb_column][\/et_pb_row][\/et_pb_section][et_pb_section fb_built=&#8221;1&#8243; \u00e8 centrale oggi perch\u00e9, se ben organizzato, il Board permette al manager di essere efficace e all&#8217;azienda di crescere in struttura e valore. \u00c8 uno snodo decisivo per le aziende che vogliono essere pi\u00f9 competitive anche grazie al contributo del Board. Spesso le aziende di piccole dimensioni in Italia presentano un Board composto da persone che non sempre hanno le competenze che servono o che il Management oggi si attende. Serve quindi uno scatto in avanti\u201d. \u201cNelle aziende di tipo familiare &#8211; racconta <strong>Christian Fife<\/strong>, Former Group Vp Finance e CFO Wabtec Corporation &#8211; capita di frequente che il proprietario non conosca neanche la propria reale valorizzazione, che magari non sappia di avere tra le mani un gioiellino o che ritenga a torto di averlo. Questo porta inevitabilmente a operare scelte sbagliate e dannose\u201d. Secondo <strong>Matteo Crosti<\/strong>, Direttore Generale e Consigliere Delegato del Gruppo Bedeschi, \u201cnelle aziende padronali, anche in quelle di medio-grandi dimensioni, quasi sempre si prendono ancora decisioni di pancia. L&#8217;AD non ha una vera delega, un foglio in bianco, ma deve confrontarsi quotidianamente con la propriet\u00e0. Nella stesura del piano strategico \u00e8 importante che il CdA faccia da pungolo valutando scenari differenti. Un\u2019analisi che va fatta anche pi\u00f9 volte all&#8217;anno. Il Board, in un\u2019azienda che si sia data delle regole chiare, ha dunque un ruolo essenziale, anche se non sempre gli viene riconosciuto. \u201cQualche anno fa &#8211; racconta <strong>Giuseppe Recchi<\/strong>, presidente di Stretto di Messina SPA &#8211; un Board member mi disse scherzando che l\u2019unico vero ruolo del CdA \u00e8 quello di licenziare il CEO. Per statuto, invece, quando il Board viene nominato detiene tutti i poteri di ordinaria e straordinaria gestione, tranne quelli che delega al CEO e che pu\u00f2 richiamare in ogni momento. Per cui \u00e8 proprio il Board il capo azienda, cio\u00e8 il responsabile primo e ultimo della funzione. Il Board ha la responsabilit\u00e0 di evitare che il CEO arrivi al punto di dover essere licenziato\u201d. Importante, in questa dinamica, \u00e8 coinvolgere direttamente il presidente del Consiglio d\u2019Amministrazione. \u201cIl suo ruolo &#8211; aggiunge Recchi &#8211; \u00e8 quello di far funzionare il Board, rendere i Board member informati e gestire anche la conduzione del CEO in modo che possa esserci tra loro un confronto costante\u201d. I consiglieri indipendenti, se hanno forti competenze specialistiche, possono avere un ruolo attivo di aiuto, supporto e controllo alla realizzazione del piano strategico, nell\u2019interesse della propriet\u00e0. Nel comporre un Board, quindi, bisogna puntare senza dubbio ad aumentare le competenze e a favorire la diversit\u00e0. Come ricorda <strong>Christian Fife<\/strong>, \u201cci sono diversi studi, tra cui uno della Harvard Law School, che testimoniano come i Consigli d\u2019Amministrazione con scarsa diversit\u00e0 hanno in media una performance peggiore\u201d. Per <strong>Paola Petrone<\/strong> \u201cnel Board ci devono essere le competenze del business dell\u2019azienda e di settori attigui, ma dev\u2019essere favorita anche la cross-fertilization grazie a consiglieri indipendenti che possano portare delle innovazioni. E dev\u2019esserci una componente di persone che vengono dal mondo dell&#8217;industria e che ne conoscono le dinamiche. \u00c8 utile, poi, per un buon funzionamento del CdA, che venga riconosciuto il ruolo dei Comitati, che svolgono un lavoro propedeutico a quello del Consiglio\u201d. Nelle aziende padronali il Consiglio d&#8217;Amministrazione dell\u2019azienda \u00e8 invece spesso espressione delle varie componenti familiari dell&#8217;azionariato: ci sono a volte cugini, fratelli e discendenti dei fondatori. Di fatto a volte \u00e8 una sorta di camera di compensazione dei conflitti tra le varie componenti della famiglia.
